DONALD J. PALAZZO is the chairman of the Nevers, Palazzo,
Maddux & Packard
Business Law
Group and is a member of the firm’s executive committee.
A significant portion of Mr. Palazzo’s practice includes
the representation of closely-held businesses and their
owners on an ongoing basis in most areas affecting the organization's
finances and the operation of their businesses. This often
involves financings, purchases and sales, joint ventures,
private placements, buy/sell agreements, employment agreements,
commercial transactions and contracts and agreements of
all kinds. He regularly advises companies on strategic positioning,
business model and revenue generation issues, and exit planning.
He also spends a substantial amount of time representing
clients in one-time transactions, such as the sale of their
business or the negotiation and documentation of a strategic
partnership. His practice includes the representation of
mature businesses as well as a number of emerging growth
companies in high tech and other industries. He also represents
senior executives in connection with agreements for their
compensation and equity participation, as well as the negotiation
of terms for separation from their employers. In addition,
he counsels clients about real estate aspects of their business,
which may include leasing or the purchase and/or sale of
real property.
Mr. Palazzo works extensively with corporations, limited
liability companies and partnerships in connection with
agreements and disputes among their shareholders, members
and partners, negotiating comprehensive solutions without
litigation. When litigation becomes necessary, he works
with the firm’s litigation team to provide aggressive advocacy
of the client’s interests.
Mr. Palazzo graduated magna cum laude from the University
of California at Los Angeles in 1974, and was a member of
Phi Beta Kappa. Don graduated from UCLA School of Law in
1977, where he was a member of the UCLA Law Review.
